5.FORCEMAJEURE:

TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccidentissuedbytheCompetentGovernmentAuthoritieswheretheaccidentoccursasevidencethereof.

UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhavetherighttocanceltheContract.

6.ARBITRATION:

AlldisputesinconnectionwiththisContractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtotheArbitrationCommitteeoftheChinaCouncilforthePromotionofInternationalTradeinaccordancewiththeProvisionalRulesofProceduresPromulgatedbythesaidArbitrationCommittee.TheArbitrationshalltakeplaceinBeijingandthedecisionoftheArbitrationCommitteeshallbefinalandbindinguponbothparties;neitherpartyshallseekrecoursetoalawcourtnorotherauthoritiestoappealforrevisionofthedecision.ArbitrationfeeshallbebornebythelosingpartyortheArbitrationmaybesettledinthethirdcountrymutuallyagreeduponbybothparties.
