TheCompanyherebyrepresentsandwarrantstotheInvestorasofthedateofthisAgreementandasoftheClosingDate,asfollows:
Section3.1Organization.
TheCompany(a)isacorporationdulyorganized,validlyexistingandingoodstandingunderthelawsofDelaware;(b)hasallrequisitecorporatepowerandauthoritytocarryonitsbusinessasnowconducted;(c)isdulyqualified,licensedandingoodstandingunderthelawsofeachjurisdictionwhereitsownership,leaseoroperationofpropertyortheconductofitsbusinessrequiressuchqualification,exceptwherethefailuretodosowouldnotreasonablybeexpected,individuallyorintheaggregate,tohaveaMaterialAdverseEffect;and(d)hasthecorporatepowerandauthoritytoexecute,deliverandperformitsobligationsundereachoftheTransactionDocumentstowhichitisaparty.TheCompanyisnotindefaultunderorinviolationofanyprovisionofitsCertificateofIncorporationorBy-laws,andnosuchdefaultsorviolationshaveoccurredinthepastwhichwouldreasonablybeexpected,individuallyorintheaggregate,tohaveaMaterialAdverseEffect.
