3.23SettlementofDisputes:

3.23.1IfanydisputeordifferenceofanykindwhatsoevershallarisebetweenthePurchaserandtheSupplierinconnectionwithorarisingoutoftheContract,thepartiesshallmakeeveryefforttoresolveamicablysuchdisputeordifferencebymutualconsultation.

3.23.2If,afterthirty(30)days,thepartieshavefailedtoresolvetheirdisputeordifferencebysuchmutualconsultation,theneitherthePurchaserortheSuppliermaygivenoticetotheotherpartyofitsintentiontocommencearbitration,ashereinafterprovided,astothematterindispute,andnoarbitrationinrespectofthismattermaybecommencedunlesssuchnoticeisgiven.

3.23.3Incaseanydispute,claimordifferenceofanykindwhatsoeverarisingoutoforinconnectionwiththisContractoranyofthecontractscontemplatedherein,includinganyquestioninconnectionwiththeexistence,construction,interpretation,validity,terminationorimplementationofthisContractorofanyofthecontractscontemplatedherein,shallbereferredtoandfinallysettledbyArbitrationbyChinaInternationalEconomicandTradeArbitrationCommission("CIETAC")forarbitrationinBeijinginaccordancewithCIETAC'srulesineffectatthetimeoftheapplicationforarbitration.

3.23.4Notwithstandinganyreferencetoarbitrationherein,

a)thepartiesshallcontinuetoperformtheirrespectiveobligationsundertheContractunlesstheyotherwiseagree;and

b)PurchasershallpaytheSupplieranymoniesduetotheSupplier.
